Welcome to KYRA. These Terms and Conditions ("Terms") govern your use of KYRA — the AI-enabled personal assistant — and all software, content, and services (collectively, "Services") delivered via our mobile applications (iOS and Android), website, and any other platforms we may offer.

Please read these Terms carefully before using the Services. By creating an account or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use KYRA.

1. Who We Are

References to "KYRA," "we," "us," or "our" refer to ZD Integrated Circuits, Inc., a Florida S-Corporation. Our product is operated under the brand KYRA (heykyra.ai).

2. Our Services

KYRA is a proactive personal assistant offering AI-powered conversation, task automation, scheduling, wellness insights, financial summaries, and integrations with third-party services.

2.1 Medical Disclaimer

KYRA is not a medical or mental health provider. Nothing in the Services constitutes medical advice, diagnosis, treatment, or a substitute for professional healthcare. Always consult a qualified medical professional for health-related concerns.

2.2 Emergencies

Do not use KYRA in emergencies. Call 911 or your local emergency services immediately. If you believe you or someone else is in danger, seek professional help without delay.

2.3 No Professional Advice

KYRA does not provide legal, financial, investment, accounting, or tax advice. Any information provided by KYRA is for general informational purposes only and should not be relied upon as professional advice.

2.4 Service Modifications

We may modify, suspend, or discontinue the Services (or any feature or part thereof) at any time, with or without notice. KYRA is not liable for any such modification, suspension, or discontinuation.

3. AI-Powered Features & Third-Party AI Processing

KYRA's core features are powered by artificial intelligence. This section explains how those features work and your rights and responsibilities in using them.

3.1 In-App AI Consent

Before you use any AI-powered features for the first time, KYRA will present you with an explicit in-app consent screen that:

You must actively accept this consent to proceed. If you decline, AI-powered features will not be activated. You may withdraw use of AI features at any time by discontinuing use of those features.

3.2 Third-Party AI Providers

To generate responses, transcribe voice input, or produce speech output, KYRA may transmit your data to one or more of the following third-party AI providers, depending on the feature in use:

These providers are engaged as data processors and are contractually required to use your data solely to provide the requested service to KYRA. They are not permitted to use your data to train their general models without separate consent.

3.3 Data Transmitted to AI Providers

When you use AI features, KYRA may transmit to AI providers:

KYRA does not intentionally transmit more personal data to an AI provider than is reasonably necessary for the requested feature.

3.4 No AI Guarantee

AI-generated responses may be inaccurate, incomplete, or outdated. You are responsible for independently verifying any AI-generated output before relying on it.

4. Accounts, Memberships & Subscriptions

4.1 Registration

You must create an account to access KYRA. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Your data is handled as described in our Privacy Policy.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@heykyra.ai if you suspect unauthorized access.

4.3 Eligibility

You must be at least 13 years of age to use the Services. By creating an account, you represent that you meet this requirement. KYRA does not knowingly collect personal data from children under 13. If we learn that a user is under 13, we will promptly terminate that account.

4.4 Subscription Plans

KYRA offers multiple plan tiers (e.g., Free, Pro, Premium). Applicable fees, billing cycles, and feature access for each tier are presented clearly at signup and within the app. Subscriptions may be billed through the Apple App Store, Google Play Store, or a payment processor such as Stripe.

4.5 Payment & Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. Failed payments may result in a downgrade or suspension of your account. Refunds are subject to the policies of the applicable platform (App Store or Google Play) and applicable law.

4.6 Cancellation

You may cancel your subscription at any time. If purchased through an app store, cancellation must be completed through that store's subscription management interface. Upon cancellation, your access to paid features will continue through the end of the current billing period. We may suspend or terminate your account for violations of these Terms without prior notice.

5. Connected Services & Device Permissions

KYRA offers optional integrations with third-party services and device features to enhance assistant functionality. All such integrations are opt-in and you may revoke access at any time.

5.1 Calendar Integration

With your permission, KYRA may access calendar data from Apple Calendar, Google Calendar, or similar services to provide scheduling and reminders. Connecting Google Calendar may involve a web-based authentication flow within the app.

5.2 Health Data

With your permission, KYRA may access health or activity summaries from Apple HealthKit, Google Fit, or similar services to provide wellness insights. Health data is used solely to deliver the features you request and is handled with appropriate care.

5.3 Financial Data

With your permission, KYRA may integrate with financial services through Plaid or similar providers to provide financial summaries and insights. KYRA does not store full account credentials. Your use of financial integrations is also subject to Plaid's terms and privacy policy.

5.4 Contacts

With your permission, KYRA may access your device contacts to help you with communication-related tasks. Contact data is stored securely and is not sold or shared for marketing purposes.

5.5 Location

With your permission, KYRA may use approximate device location to respond to location-based requests. Location is used only when needed to fulfill a specific request and is not continuously tracked.

6. Acceptable Use

You are responsible for your use of the Services and for any content you submit ("Your Content"). You agree not to:

KYRA reserves the right to remove content or suspend accounts that violate these rules.

7. Content Ownership & License

You retain ownership of content you create or upload ("Your Content"). By submitting Your Content to KYRA, you grant ZD Integrated Circuits, Inc. a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, reproduce, and process Your Content solely as necessary to provide you with the Services.

We do not claim ownership of Your Content and will not use it for advertising or third-party commercial purposes without your separate consent.

8. Third-Party Integrations & Links

KYRA may integrate with or link to third-party services (e.g., Google Calendar, Plaid, Stripe, Apple HealthKit). Your use of those services is governed by their respective terms and privacy policies. KYRA is not responsible for the practices or content of third-party services.

9. Mobile Services

Accessing KYRA on a mobile device may result in data charges from your carrier. You are responsible for any such charges. If your phone number changes, please update your account promptly to avoid service interruptions.

10. Intellectual Property

All software, design elements, trademarks, and content comprising the KYRA Services are owned by ZD Integrated Circuits, Inc. or used with permission. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms. Unauthorized reproduction, distribution, or commercial exploitation of KYRA's content or software may result in legal action.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, KYRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.

KYRA does not warrant that AI-generated outputs are accurate, complete, or appropriate for any particular use.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KYRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

In any event, KYRA's total cumulative liability to you for any claim arising from or relating to the Services shall not exceed the greater of (a) $100 USD or (b) the total fees you paid to KYRA in the six (6) months immediately preceding the claim.

Some jurisdictions do not allow certain liability exclusions; the above limitations apply to the fullest extent permitted in your jurisdiction.

13. Indemnification

You agree to indemnify, defend, and hold harmless KYRA, ZD Integrated Circuits, Inc., and their respective affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

14. Dispute Resolution & Arbitration

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Pre-Arbitration Notice: Before initiating arbitration, you must send a written Notice of Dispute to hello@heykyra.ai describing the nature of the claim and the relief sought. If the dispute is not resolved within 60 days of receipt of the notice, either party may commence arbitration.
